Terms of Use

1) Acceptance
By using this website or engaging services from Regnstone Digital (“Regnstone,” “we,” “our,” “us”), you agree to these Terms of Use (“Terms”). If you do not agree, do not use the website or services.
2) Definitions
- Services: website design, development, hosting, maintenance, and related consulting.
- Client: any person or entity that requests or purchases Services.
- SOW: a quote, order form, or statement of work that sets scope, schedule, and fees.
- TradeBank Dollars: the barter currency processed through the TradeBank network.
- Deliverables: work product we create and deliver under an SOW.
3) Services
We provide Services to tradespeople and small businesses in Canada. Scope, timelines, assumptions, and acceptance criteria appear in each SOW. If an item is not listed in the SOW, it is out of scope and may require a change order.
4) Accounts and Site Use
- Do not attempt to breach or bypass security, probe systems, or disrupt operations.
- Do not submit unlawful, infringing, or harmful content.
- We may suspend site access for misuse.
5) Fees and Payment (TradeBank Only)
- All fees and ongoing charges are payable in TradeBank Dollars only.
- Deposits, milestones, and monthly hosting/maintenance fees appear in the SOW.
- We may suspend or terminate Services for non-payment or failed TradeBank transfers.
- Clients are responsible for all applicable taxes and for meeting any reporting obligations related to barter transactions. Invoices state values in TradeBank Dollars.
6) Client Responsibilities
- Provide timely content, brand assets, approvals, and access needed to perform the Services.
- Warrant you have rights to all materials you supply.
- Review and approve Deliverables within the periods stated in the SOW.
7) Intellectual Property
- Our Materials: tools, libraries, methods, frameworks, templates, and know-how remain ours.
- Third-Party Materials: fonts, plugins, stock assets, and software remain subject to their licenses.
- Deliverables: upon full payment in TradeBank Dollars under the SOW, we grant the Client a worldwide, non-transferable, perpetual license to use the Deliverables for the Client’s business. Ownership of original Client content remains with the Client.
8) Portfolio Reference
We may display non-confidential Deliverables, screenshots, and the Client name in our portfolio and marketing. If you require confidentiality, state this in writing in the SOW before work begins.
9) Third-Party Services
Services may rely on third parties (e.g., hosting, DNS, CMS, analytics, TradeBank). Those services are subject to their terms. We are not responsible for third-party availability, security, pricing, or changes.
10) Hosting and Maintenance
- Hosting and maintenance terms appear in the SOW or plan description.
- We may perform security patches, updates, and routine maintenance windows.
- If a third-party dependency causes an issue, resolution may require changes in scope.
11) Confidentiality
Each party will keep the other party’s non-public information confidential and use it only to perform or receive the Services. This does not apply to information that is public, already known, independently developed, or rightfully received from a third party.
12) Warranties
- We provide the website and Services “as is.”
- We do not warrant uninterrupted or error-free operation or specific outcomes.
- Clients represent they have rights to all submitted materials and that their use is lawful.
13) Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim is limited to the fees paid (in TradeBank Dollars) for the Services giving rise to the claim during the twelve months before the event.
14) Indemnity
You will defend and indemnify us against third-party claims from your content, your misuse of the Services, or your breach of these Terms.
15) Termination
- Either party may terminate an SOW for material breach not cured within 15 days after written notice.
- We may suspend or terminate Services for failed or disputed TradeBank transfers.
- Sections that by nature should survive will survive (including Fees and Payment, IP, Confidentiality, Warranties, Liability, Indemnity, Governing Law).
16) Force Majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control.
17) Changes
We may update these Terms. Updates apply when posted with a new effective date.
18) Governing Law and Venue
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. Courts in Ontario have exclusive jurisdiction.
19) Entire Agreement; Order of Precedence
These Terms and any SOW form the entire agreement for the Services. If there is a conflict, the SOW controls, then these Terms.
20) Severability; No Waiver
If a term is unenforceable, the rest remains in effect. Failure to enforce a term is not a waiver.
